Adapt any from the Findlaw.com site to fit your needs. You just need to personalize the information. Pay particular attention to the checklist on that site, and make sure that you have all of those basis covered such as identity of parties, purpose of the agreement, alternative dispute resolution, indemnification if you have to sue, etc.
